1. Overview & Acceptance
These Terms of Service ("Terms") form a legal agreement between you (either an individual or a single entity) and Elena Sheremetyeva, sole trader trading as Writage ("Writage", "we", "us"). By downloading, installing, activating or using the Writage desktop software or any accompanying services (collectively, the "Software") you agree to be bound by these Terms. If you do not agree, do not install or use the Software.
Installer EULA – The End‑User Licence Agreement presented during installation forms part of these Terms. If these Terms and the EULA conflict, the EULA governs the technical licensing conditions; these Terms govern pre‑contract disclosures.
2. Definitions
- Software – the Writage executable files, plug‑ins, documentation and any updates we supply.
- Licence – the rights granted in section 3.
- Merchants of Record – Paddle.com Market Ltd ("Paddle") or Bright Market, LLC d/b/a FastSpring ("FastSpring"), authorised resellers who process all payments, invoicing and charge‑backs for us.
3. Licence Grant
Writage offers three licence types that match those in the installer EULA.
3.1 Personal Licence
Subject to payment of the personal‑licence fee and continued compliance with these Terms, one named individual may:
- install the Software on multiple computers provided it is not running on more than one computer at any time; and
- make one back‑up copy solely for archival purposes.
3.2 Commercial Licence
If you purchase Commercial Licences, any number of authorised users within your organisation may install the Software on multiple computers, provided that the number of simultaneously running instances never exceeds the number of licences purchased. Writage may require technical licence‑control measures (e.g. a licence server) to enforce this rule.
3.3 Trial Licence
A time‑limited trial licence may be supplied for evaluation purposes. The trial version automatically disables itself 14 days after a trial key is issued unless you purchase a full licence, and is subject to all restrictions in these Terms and the EULA.
4. Restrictions
You may not:
- sublicense, rent, lease, lend, resell or share the Software or licence key;
- reverse‑engineer, decompile or disassemble the Software except to the limited extent expressly permitted by law;
- remove or alter proprietary notices or technological protection measures;
- use the Software to develop a competing product or service.
5. Ownership
The Software is licensed, not sold. All intellectual‑property rights in the Software remain with Writage and its licensors.
6. Payment & Taxes
Purchases are processed by our authorised Merchants of Record, Paddle or FastSpring. The name of the provider that handled your order will appear on your card or bank statement and is responsible for collecting any VAT, GST or sales tax required by law.
7. Updates & Support
If you opt in, the Software checks periodically for updates. Minor updates (bug‑fixes, security patches) are provided free for at least twelve (12) months from the date of purchase. E‑mail support is available at support@writage.com.
8. Refunds
Our Refund Policy (https://www.writage.com/refund-policy) is incorporated by reference into these Terms.
9. Term & Termination
Your Licence remains in force until terminated. We may terminate it immediately if you materially breach these Terms. Upon termination you must uninstall and delete all copies of the Software and licence keys.
10. Disclaimer of Warranties
To the maximum extent permitted by law, the Software is provided "as is" without warranties of any kind, whether express, implied or statutory, including implied warranties of merchantability, fitness for a particular purpose and non‑infringement.
11. Limitation of Liability
To the maximum extent permitted by law, Writage shall not be liable for any indirect, special, incidental or consequential losses, or loss of profits, data or goodwill, arising from the use of or inability to use the Software, even if advised of the possibility. Our aggregate liability under these Terms shall not exceed the licence fees you paid in the twelve (12) months preceding the claim. Nothing in these Terms limits liability that cannot legally be excluded or limited, including liability for death or personal injury caused by negligence or for fraud.
12. Governing Law & Jurisdiction
These Terms are governed by the laws of England and Wales. The courts of England and Wales have exclusive jurisdiction except where mandatory consumer‑protection law provides otherwise.
13. Changes to Terms
We may update these Terms from time to time. The current version will always be available at https://www.writage.com/tos. Material changes take effect 14 days after they are posted.
